Acceptance of Proposal. The customer is responsible for verifying the accuracy of all quoted quantities and materials. Any alterations or deviations from the materials quoted above that incur additional costs will necessitate written approval and will be charged in addition to the original estimate. All agreements are contingent upon unforeseen circumstances such as strikes, accidents, or delays beyond our control. By accepting this proposal, you confirm that the aforementioned prices, manufacturers, model numbers, and quantities are satisfactory. You are also authorizing the commencement of the work as specified.
 

Credit. All first time orders require full prepayment before release of order. American Building Specialties may, but is not obligated to, grant credit terms to Buyer after first order. Credit will be established through American Building Specialties standard credit application and will be evaluated after relevant information is received. Should credit not be approved, advance payment will be required. American Building Specialties reserves the right, in its sole discretion and without prior notice, to deny, change or limit amount of credit to be allowed, either generally or with respect to a particular purchase order or contract.
 

Shipment and Delays: Any estimated arrival or delivery date is not a guaranteed delivery date. American Building Specialties is not responsible for penalties or damages of any kind, direct or indirect, incidental or consequential, that may result from American Building Specialties’ delays in meeting the estimated delivery dates, including but not limited to liquidated damages or penalty provisions of contracts entered into by Buyer and/or Buyer’s customers. All lead times and shipments are based on submittal approval and prepayment received if required.
 

Taxes: Buyer shall pay all sales, use, customs, duties, or similar taxes, or other charges, which American Building Specialties is required to pay. Buyer is responsible to collect and remit, to any Government (national, state or local) not collected by American Building Specialties as outlined in this estimate.  
 

Payments. Unless credit terms are agreed to as described in paragraph 2 above, payment shall be made prior to release. Please be aware that overdue invoices will incur a monthly interest rate of 1.5% on all unpaid balances. Furthermore, should a debt remain unpaid, American Building Specialties Corp. reserves the right to pursue necessary legal action, and the customer will be responsible for all associated costs. American Building Specialties does not provide bonds. Upon request American Building Specialties will sign conditional lien waivers for release of payments. No unconditional lien waivers will be signed until payments are received.
 

Inspection: Buyer shall inspect products promptly for damage and note damages with the carrier. Buyer must notify American Building Specialties of any damages or missing items within 48 hours of delivery. Failure to do so may result in Buyer repurchasing materials as needed.
 

Returns. Returns require prior authorization from American Building Specialties and may be subject to restocking fee of up to 25% for unopened products. No freight charges will be compensated as part of the credit and Buyer will be responsible for return freight charges. Some items may be non-cancelable, non-returnable if submittals were approved. American Building Specialties reserves the right to refuse any return.
 

Order Changes; Cancellations. Changes or cancellations to an order must be in writing and may result in additional charges for labor and/or materials. Changes may result in a delay in the scheduled ship date. Once submittals are approved items may not qualify for cancellation or returns.
 

Warranties. American Building Specialties agrees to provide manufacturer warranties on items provided. These warranties are based on sell date of the material. American Building Specialties will provide warranties and guarantees on installation if required. Warranties will be subject to following manufacturer’s recommended structural conditions for proper installation.
 

 Insurance. American Building Specialties carries insurance for the following locations; Virginia, Maryland, and District of Columbia. American Building Specialties does not provide insurance to projects that are drop shipped from the factory.
